User Account, Password, and Security
In this Agreement "you" refers to the person who registers to become a user of LocalSchools.com. You agree that all information you provide in registration or otherwise are true, accurate, and complete. We reserve the right to refuse service or subscription to any person or entity for any or no reason whatsoever. To obtain some specific Services, you will be required to designate a user ID and password. No Resale of Service

Term of Agreement
This Agreement remains in effect until terminated by you or LocalSchools.com. You may terminate this Agreement upon our receipt of your notice via email to LocalSchools.com at and by our subsequently disabling your password and ID. If you are unsatisfied with the Services provided through LocalSchools.com, your sole remedy is to terminate this Agreement. We may terminate this Agreement, in whole or with respect to a Service, with or without cause, at any time immediately upon our disabling your password and ID. We may notify you of termination of the Agreement via email or other written notice to the address you provide to us in the registration process. After the termination of this Agreement or a Service, you are not authorized to access or use the Service, and you shall cease all such access and use. If you nonetheless access or use the Service in spite of termination of the Agreement or Service, your use of, or access to, the Service will be subject to the version of the Agreement then in effect as to all current users.
Termination
You agree that LocalSchools.com may, under certain circumstances and without prior notice, immediately terminate your LocalSchools.com account, any associated other accounts, and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification to the Service (or any part thereof), (d) unexpected technical or security issues or problems, and (e) extended periods of inactivity. Termination of your LocalSchools.com account includes (a) removal of access to all offerings within the Service, including but not limited to LocalSchools.com Profile, Private Messages, Message Boards, Blogs, Images, Events, etc. (b) deletion of your password barring further use of the Service. Further, you agree that all terminations for cause shall be made in LocalSchools.com's sole discretion and that LocalSchools.com shall not be liable to you or any third-party for any termination of your account, any associated email address, or access to the Service.
Changes to Agreement and Services
We may make changes to this Agreement at any time. Your continued use of the Services indicates your continued agreement to be bound by this Agreement, as changed from time to time. You should view this Agreement often to stay informed of changes that may affect you. You agree to check the Services, your mail and/or email on a regular basis to receive important and timely notices from us. LocalSchools.com may also make changes to the Services and site, including discontinuing any Service or content or otherwise restricting access and use. We reserve the right to do so without prior notice to you. LocalSchools.com reserves the right to change or add any fees or charges for access or use of LocalSchools.com or any of the Services at any time.

Without limiting any of the foregoing, if LocalSchools.com, EduCatalyst, Inc, or any of their respective affiliates, officers, directors, employees, agents, contractors or suppliers is found liable to you for any claims EduCatalyst, Inc., and such parties' aggregate and maximum liability for all such matters and claims in any calendar year shall not exceed the amounts paid by you to LocalSchools.com for the specific Service or product giving rise to such liability.

This Agreement represents your entire agreement with LocalSchools.com with respect to your access and use of LocalSchools.com and the Services. You may not assign this Agreement without the prior written consent of LocalSchools.com. This Agreement shall be binding on and inure to the benefit of the parties and their respective successors and assigns. Should any provision of this Agreement be held to be void, invalid, unenforceable, or illegal by a proper legal authority, the validity and enforceability of the other provisions shall not be affected. This Agreement shall be governed by and construed under the law of the State of New Hampshire, without regard to conflicts of laws, and the Federal law of the United States.
LocalSchools.com may modify this Agreement from time to time and such modification shall be effective upon posting by LocalSchools.com on the LocalSchools.com Website. You agree to be bound to any changes to this Agreement when you use the LocalSchools.com Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.
Please choose carefully the information you post on LocalSchools.com and that you provide to other Users. Your LocalSchools.com profile may not include the following items: telephone numbers, street addresses, last names, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. AND SUCH PERSONS SHALL NOT BE LIABLE TO YOU FOR ANY LOSS, COST, DAMAGE, OR OTHER INJURY, OF ANY KIND WHATSOEVER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR CAUSED IN WHOLE OR IN PART BY USE OR INABILITY TO USE LOCALSCHOOLS.COM OR ANY ERRORS OR OMISSIONS IN THE CONTENT HEREOF. (I) YOUR USE OF, OR RELIANCE ON, ANY SERVICE OR CONTENT, (II) LOCALSCHOOLS.COM'S, EDUCATALYST, INC. OR ANY OTHER PERSON'S PERFORMANCE OF ANY OBLIGATIONS UNDER OR IN CONNECTION WITH THIS AGREEMENT, OR (III) YOUR PURCHASE AND USE OF ANY GOODS OR SERVICES PROVIDED BY THIRD PARTIES THROUGH LOCALSCHOOLS.COM OR ITS ASSOCIATED SITES. IN NO EVENT WILL LOCALSCHOOLS.COM, EduCatalyst, Inc OR ANY OF THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY PUNITIVE, CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, SPECIAL, OR SIMILAR DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. All users therefore agree that all access and use of LocalSchools.com is the user's own risk. Because some states or jurisdictions do not allow the exclusion or limitation of liability for certain damages, in such states or jurisdictions, the liability of LocalSchools.com, EduCatalyst, Inc. And their respective affiliates, officers, directors, employees, agents, contractors, and suppliers shall be limited in accordance with this Agreement to the fullest extent permitted by law. The user specifically waives any and all claims it may have arising out of use of LocalSchools.com. Any service for which a separate fee is charged carries with it only the representations and warranties specifically stated attributable to that service. LocalSchools.com, EduCatalyst, Inc. and their respective affiliates, officers, directors, employees, agents, contractors, or other suppliers shall not be liable for any loss, cost, or damage due to causes beyond their control. You understand that neither LocalSchools.com nor EduCatalyst, Inc. accept any responsibility for security of information transmitted over the Internet. Without limiting any of the foregoing, if LocalSchools.com, EduCatalyst, Inc, or any of their respective affiliates, officers, directors, employees, agents, contractors or suppliers is found liable to you for any claims EduCatalyst, Inc., and such parties' aggregate and maximum liability for all such matters and claims in any calendar year shall not exceed the amounts paid by you to LocalSchools.com for the specific Service or product giving rise to such liability.

Content/Activity Prohibited
The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the LocalSchools.com Services. LocalSchools.com reserves the right to investigate and take appropriate legal action against anyone who, in LocalSchools.com's sole discretion, violates this provision, including without limitation, removing the offending communication from the LocalSchools.com Services and terminating the Membership of such violators. Prohibited Content includes, but is not limited to:
- harasses or advocates harassment of another person;
- is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
- exploits people in a sexual or violent manner;
- contains nudity, violence, or offensive subject matter or contains a link to an adult website;
- solicits personal information from anyone under 18;
- provides any telephone numbers, street addresses, last names, URLs or email addresses;
- promotes an illegal or unauthorized copy of another person's copyrighted work.
- involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
- furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
- solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
- involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
- includes a photograph of another person that you have posted without that person's consent; or
- criminal or tortuous activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, attempting to impersonate another member or person.
Miscellaneous
This Agreement represents your entire agreement with LocalSchools.com with respect to your access and use of LocalSchools.com and the Services. Except for LocalSchools.com's affiliates, this Agreement does not confer any rights, remedies, or benefits upon any person other than you and LocalSchools.com. This Agreement may only be amended by a written or electronic form duly accepted and agreed to by LocalSchools.com and you, or in the manner described in the Section "Changes to Agreement and Service" above. You may not assign this Agreement without the prior written consent of LocalSchools.com. This Agreement shall be binding on and inure to the benefit of the parties and their respective successors and assigns. Should any provision of this Agreement be held to be void, invalid, unenforceable, or illegal by a proper legal authority, the validity and enforceability of the other provisions shall not be affected. This Agreement shall be governed by and construed under the law of the State of New Hampshire, without regard to conflicts of laws, and the Federal law of the United States.
LocalSchools.com may modify this Agreement from time to time and such modification shall be effective upon posting by LocalSchools.com on the LocalSchools.com Website. You agree to be bound to any changes to this Agreement when you use the LocalSchools.com Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.
Please choose carefully the information you post on LocalSchools.com and that you provide to other Users. Your LocalSchools.com profile may not include the following items: telephone numbers, street addresses, last names, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other LocalSchools.com Members (for instance, in their Profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and LocalSchools.com assumes no responsibility or liability for this material. LocalSchools.com reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the LocalSchools.com Services at any time, for any or no reason, with or without prior notice, and without liability.
